How to Set Up a Small Business in Dubai
Build a launch plan that fits your actual business. Confirm the activities you need, choose an appropriate registration route and budget for both setup and the first operating months.
This practical guide helps first-time founders organise licensing, facilities, banking and compliance without relying on a one-size-fits-all package.
What is the first step to setting up a small business in Dubai?
Write a clear business brief before comparing packages. State what you will sell, who will buy it, where you will operate and which people and facilities you need.
Then confirm the permitted activities, legal form and authority requirements for that proposal. A small team or modest revenue target does not automatically determine your licence, premises or tax obligations.
Prepare a one-page business brief
- Offer: describe the products or services and how customers receive them.
- Customers: identify the intended market and whether work is performed locally or remotely.
- Owners: list shareholders and explain who will manage the business.
- Workspace: describe any office, retail, storage or production needs.
- People: record the founder's residence plans and intended hiring.
- Payments: describe expected customer receipts, supplier payments and currencies.
- Budget: separate money available for setup from money needed to keep operating.
Use our business activity selection guide to turn this brief into a licensing enquiry.
Choose the registration route and legal form together
Compare the exact mainland or free-zone proposal against your operations. Avoid choosing solely because a package is advertised as inexpensive or suitable for startups.
Check the activity and market access
Confirm which activities the licence will cover and any additional permissions needed where the business will operate. Explain your intended customers and delivery model to the authority.
Check the ownership and legal form
Ask which forms are available and what they mean for ownership, liability, signing authority and tax treatment. A company and an individual business owner should not be treated as identical.
Check acceptable facilities
Invest in Dubai's normal licence description includes a site lease contract. Other routes have their own conditions; obtain the applicable checklist before choosing a workspace. [1]
Check future changes
Ask how adding activities, hiring, moving premises or changing ownership would be handled. Do not assume the initial package supports every later expansion without additional work or charges.
Explore our mainland setup page and free-zone setup page. Foreign founders can also use our foreign-founder guide for ownership and remote-formation questions.
Small business setup: six practical steps
- Confirm the business scope. Resolve activity, jurisdiction, ownership and legal-form questions before submitting the file.
- Obtain the current document checklist. Gather the requested identity, company and authorisation records for the selected route.
- Complete naming and approval steps. Arrange the trade name and any required authority approvals in the appropriate order.
- Complete company and facility documents. Confirm signing arrangements and acceptable premises evidence before making commitments.
- Complete registration and licence issuance. Pay the assessed charges and check the resulting documents for accuracy.
- Prepare to operate. Address banking, people, payments, accounting and the permissions relevant to the actual business.

Budget for setup and the first operating months
There is no universal startup total for every small business. Obtain a written quotation, then add the operating costs that sit outside the package.
| Budget category | Items to review | Question to resolve |
|---|---|---|
| Initial setup | Registration, licence, documents, approvals and requested professional support. | What is included, excluded or not applicable to the proposal? |
| Initial facilities and people | Premises, equipment, deposits and any requested residence or employment services. | Which amounts are payable upfront and which recur? |
| Operating costs | Rent, software, staff, supplier costs, banking charges and marketing. | What must be paid before customer receipts are available? |
| Working capital | Inventory, unpaid invoices and the gap between outgoing and incoming payments. | How will the business fund that gap? |
| Continuing administration | Renewal, bookkeeping, applicable returns and ongoing support. | When are these costs due and who will manage them? |
| Contingency | A planning reserve for identified uncertainty and additional work. | Which unresolved items could change the budget? |
Practical planning exercise: forecast customer receipts and outgoing payments by month. Keep one version using your expected sales and another with slower collections. The difference shows where additional funding or lower commitments may be needed.

Prepare banking and payment arrangements
Ask the chosen bank for its current eligibility and document requirements. Emirates NBD's business onboarding guidance lists company, shareholder identity and address documents, and notes that delayed documents can delay an application. [5]
Keep a clear business description and supporting records ready. Check the account charges and the payment functions your business needs. Account approval is a separate decision from licence issuance.
Visit our corporate bank account opening page for banking support enquiries.
Plan facilities and people before committing
Obtain confirmation that the proposed workspace is acceptable for the chosen route and activities. Check what a facility package actually provides, including its term and any limitations relevant to your operation.
If residence or employment services are needed, confirm the applicable route and requirements separately. Do not assume that every licence package includes visas or that the business can hire without further steps.

Small-business tax checks: identify the person first
Start by confirming whether the business is an incorporated entity or is carried on by an individual. Corporate Tax and VAT have different tests; a small budget or low profit does not answer every registration question.
Incorporated companies
The FTA states that juridical persons subject to Corporate Tax must register within the prescribed timelines. Assess the company's status and obligations rather than assuming a small company is automatically exempt. [2]
Individual business owners
For a UAE-resident individual conducting UAE business, the FTA's test concerns total business turnover exceeding AED 1 million in a calendar year. This is a turnover test, not a profit test. Wages, personal investment income and real estate investment income are excluded under the applicable definitions. [3]
VAT registration uses a separate test
For a UAE-resident business, assess whether taxable supplies and imports exceeded AED 375,000 over the previous 12 months, or are expected to exceed it in the next 30 days. This is not simply a test of accounting profit or all money received. [4]
Voluntary registration may be available where the relevant taxable supplies and imports, or taxable expenses, exceed AED 187,500 under the applicable period tests. Non-resident businesses have different mandatory-registration considerations. Check the facts before applying. [4]
Keep these reviews separate from licence renewal. Record the applicable registrations, filing dates and evidence needed for the business.
Keep records organised from the first transaction
- Keep issued licences, company documents and authority correspondence together.
- Store customer agreements, sales records, receipts and supplier invoices.
- Record business payments, owner funding and withdrawals clearly.
- Reconcile bank transactions and track customer amounts still outstanding.
- Maintain a calendar for licence renewal and applicable compliance tasks.
- Assign responsibility for bookkeeping and document follow-up.
A simple, consistent process is easier to maintain than reconstructing the records later. Choose tools and support appropriate to the transaction volume and business model.
Your small-business launch checklist
- The business offer and intended customers are clearly described.
- Activities, ownership and legal form have been checked.
- Required documents and permissions have been identified.
- The facility arrangement fits the proposed operation.
- The quote has a written inclusion and exclusion list.
- Setup spending and operating cash needs are budgeted separately.
- Banking, payments and any people-related tasks have a plan.
- Tax status, records and continuing deadlines have been reviewed.
If an item remains unresolved, give it an owner and a next action before relying on a launch date.

Small business setup in Dubai: FAQs
What is the cheapest way to start a small business in Dubai?
First identify a suitable licence and facility arrangement. Compare quotations covering the same required scope and check operating costs before deciding which option is affordable.
Do all small businesses need a private office?
Confirm the requirements of the particular authority, route and activity. Do not assume that a private office, shared facility or virtual arrangement is acceptable for every business.
Is a company the same as an individual business for Corporate Tax?
No. Identify the legal and tax status first. The natural-person business turnover test should not be applied to an incorporated company.
Does low profit mean I do not need VAT registration?
No. The VAT registration tests concern relevant taxable supplies and imports, with a separate voluntary test that can also consider taxable expenses. Profit alone is not the registration measure.
Can I apply directly or should I use a consultant?
Ask the authority about direct application options. If using a consultant, request a clear scope covering the tasks, fees and responsibilities you need help with.
How long will the full launch take?
Request a milestone schedule for the actual file. Licensing, residence, banking and operating preparation can have different dependencies and completion points.
