The direct answer

What Is an ADGM SPV?

An ADGM Special Purpose Vehicle is a passive private company used to isolate financial and legal risk by ring-fencing specified assets and liabilities.

It is not a low-cost operating company. ADGM expressly states that an SPV cannot conduct operational business or hire staff.

Use-case discipline

What an ADGM SPV Is Designed to Hold

The asset or legal interest should be identifiable, and the purpose should remain passive.

SH

Shares and subsidiaries

Centralise ownership of UAE or international subsidiaries and separate those holdings from operating-company liabilities.

JV

Joint ventures

Hold a defined investment in a joint venture so contractual and economic exposure sits in a dedicated legal vehicle.

PA

Project assets

Ring-fence a project-specific asset or liability where the legal and commercial purpose supports a separate vehicle.

IP

Intellectual property

Potentially hold IP rights as an asset. Commercial exploitation, licensing activity and tax treatment require separate review.

FI

Financing or investment assets

Hold financing, investment or security interests where the vehicle itself remains passive and does not perform regulated services.

RE

Real estate interests

An SPV may be considered for property holding where the relevant land authority, ownership rules and transaction structure permit it.

Core eligibility

The ADGM Nexus Requirement

ADGM requires every SPV to demonstrate an appropriate connection—or “nexus”—to ADGM, the UAE and/or the GCC region.

The application should explain why an ADGM company is logically connected to the assets, shareholders, group, transaction or regional structure.

A weak nexus explanation can delay the application even when the incorporation documents are complete.

Do not manufacture nexus. Build the structure around real assets, parties, operations or investment relationships and document them consistently.

Nexus evidence can involve

  • UAE or GCC assets or investments
  • Shareholdings in UAE or GCC operating entities
  • An ADGM, UAE or GCC group relationship
  • Regional joint-venture or financing arrangements
  • Corporate-purpose documents consistent with the business plan
  • Other evidence requested by the Registrar

Non-exempt SPV

Applicants that do not meet ADGM’s exemption criteria must appoint an ADGM-licensed Company Service Provider before lodging the application. The CSP supports formation, registered office and ongoing filings.

Potentially exempt SPV

Certain qualifying entities may be exempt from appointing a CSP, including specified regulated or substantial UAE groups. Exemption must be demonstrated to the Registrar—it should never be assumed.

Official rule: ADGM’s current SPV framework confirms the nexus requirement and mandatory CSP appointment for non-exempt SPVs. Always use a currently licensed provider when CSP appointment is required.
Real cost architecture

ADGM SPV Cost in 2026

The official ADGM initial Registration Authority fee for a standard SPV is USD 1,900. The specialised-category annual licence and data-protection renewal total is USD 1,400, and the annual confirmation statement costs a further USD 100.

That means the authority fee is only one layer. A non-exempt SPV will usually also incur CSP and registered-office charges, plus professional, accounting, tax and banking-preparation costs based on the structure.

Headline fee ≠ total structure cost. Ask for initial, annual, amendment and exit costs before incorporating.

ADGM found that an SPV exceeded its passive licence scope, conducted unlicensed activity and filed false annual accounts. The director was also disqualified for 15 years.

Licence boundary matters

“Passive” Is a Legal Limitation, Not Marketing Language

ADGM has taken enforcement action where SPVs were used as operational businesses. In a 2025 case, the Registration Authority said an SPV had been used as an investment company, financial-services provider and cryptocurrency-to-fiat payment facilitator outside its licence scope.

ADGM has also previously penalised SPVs for acting as managers of residential investment properties rather than remaining passive holding entities.

Activities that should trigger a structure review

  • Providing consultancy or management services
  • Regularly invoicing customers
  • Employing operating staff
  • Managing property or assets for third parties
  • Processing payments for clients
  • Performing regulated financial activity
  • Operating a trading or ecommerce business
Application workflow

ADGM SPV Setup Process

The digital filing can be straightforward. The structure, nexus and ownership evidence are where most of the real work sits.

1

Define the asset and purpose

Identify exactly what the SPV will hold, why legal separation is needed and what liabilities are being ring-fenced.

2

Document the ADGM/UAE/GCC nexus

Connect the shareholders, assets, project, group or transaction to the regional structure and support the explanation with evidence.

3

Assess CSP exemption status

Most non-exempt applicants must appoint an ADGM-licensed CSP before the application is lodged.

4

Prepare ownership and KYC documents

Compile shareholder, director, UBO, proof-of-address, source-of-wealth and corporate-shareholder evidence.

5

Prepare the SPV business plan

Explain the purpose, ownership, assets, nexus, expected transactions and why the entity will remain passive.

6

Submit through the correct route

The CSP generally submits a non-exempt SPV application. Exempt applicants follow the applicable ADGM route.

7

Verify the incorporation documents

Review the legal name, licence activity, shareholders, directors, share capital and registered-office details.

8

Activate tax, accounts and banking

Implement accounting, UBO, tax, confirmation statement and annual-accounts controls immediately.

Tax architecture

ADGM SPV Corporate Tax: Do Not Assume “Passive = Tax-Free”

The outcome depends on income, assets, counterparties, exemption conditions and whether the SPV qualifies as a Qualifying Free Zone Person.

CT

Corporate Tax registration

An ADGM SPV is a UAE legal person and must assess UAE Corporate Tax registration and filing obligations under the current rules.

QF

QFZP analysis

Free-zone 0% treatment is conditional. The SPV must satisfy the QFZP requirements and classify each income stream correctly.

PE

Participation exemption

Dividends and gains from qualifying ownership interests may benefit from the participation exemption where statutory conditions are met. It is not automatic for every investment.

Audit interaction: ADGM’s small-company regime can permit simplified unaudited accounts in certain cases, but a company seeking QFZP treatment must separately assess federal audited-financial-statement requirements.
Bank-facing narrative

Opening a Bank Account for an ADGM SPV

An ADGM SPV can seek a bank account subject to the bank’s risk appetite and KYC review, but the application is different from an ordinary operating-company file.

The bank needs to understand why the vehicle exists, what it owns, where money will come from, where it will go, who ultimately controls the structure and why the UAE is relevant.

The strongest file explains the legal purpose and transaction logic before the bank has to infer it.

Use our corporate bank account opening guide and business bank account document checklist.

SPV banking file

  • Certificate of incorporation and commercial licence
  • Articles and share register
  • Full UBO and group structure chart
  • Source-of-wealth and source-of-funds documents
  • SPV purpose memorandum or business plan
  • Evidence of the asset, investment or JV interest
  • Expected funding and distribution flow
  • Tax registration and accounting readiness
  • CSP and registered-office evidence
No bank account is guaranteed. ADGM registration does not override bank KYC, AML, sanctions screening or internal risk appetite.
Post-incorporation controls

ADGM SPV Annual Compliance

A passive company still has active legal and reporting obligations.

Commercial licence & data protection

Renew the specialised SPV licence and annual data-protection registration through ADGM.

Confirmation statement

Every ADGM company must file an annual confirmation statement. The fee is USD 100 and it is due within one month of the incorporation anniversary.

Annual accounts

ADGM companies, including SPVs, generally file annual accounts. Eligible small companies may qualify for simplified filing, subject to exclusions.

UBO records

Maintain current beneficial-ownership records and report applicable changes to the Registrar within 15 days.

Event-driven filings

Share transfers, new directors, registered-office changes and other events may trigger separate filings and fees.

Corporate Tax

Maintain tax records, assess QFZP status where relevant and file the Corporate Tax return within the statutory timeline.

Small-company regime: ADGM currently states that companies with turnover not above USD 13.5 million and no more than 35 employees may qualify for simplified unaudited balance-sheet filing, provided they are not excluded. Tax audit requirements must still be tested separately.

For ownership controls, see our UAE UBO compliance guide.

Business & Beyond methodology

We Test the SPV Before We Register It

Our structuring review starts with the asset, risk, ownership chain, transaction flow, tax position and banking purpose.

If the proposed entity needs employees, customer invoicing, management fees or day-to-day commercial operations, we challenge the SPV assumption before incorporation.

Structure first. The cheapest registration is expensive if the entity later cannot perform the intended role.

ADGM SPV FAQs

What is an ADGM SPV?

An ADGM SPV is a passive private company used to isolate financial and legal risk by ring-fencing specific assets and liabilities.

How much does an ADGM SPV cost in 2026?

The official ADGM initial Registration Authority fee is USD 1,900. Annual specialised-category renewal is USD 1,400, with a separate USD 100 annual confirmation statement. CSP, registered office and professional costs are additional.

Does an ADGM SPV need a CSP?

A non-exempt SPV must appoint an ADGM-licensed Company Service Provider. Certain qualifying applicants may be exempt, but exemption must be demonstrated to the Registrar.

What is the ADGM SPV nexus requirement?

Every ADGM SPV must demonstrate an appropriate connection or nexus to ADGM, the UAE and/or the GCC region.

Can an ADGM SPV conduct business?

No ordinary operational business. ADGM states that SPVs are passive holding companies and cannot be used to conduct operational business or hire staff.

Does an ADGM SPV need a physical office?

It does not require a conventional operating office, but it must maintain a registered office in ADGM. For a non-exempt SPV this is commonly provided through the appointed licensed CSP.

Does an ADGM SPV file annual accounts?

Yes. ADGM companies generally file annual accounts and ADGM annual-accounts guidance applies to SPVs, subject to applicable exemptions and simplified regimes.

Does an ADGM SPV pay Corporate Tax?

The tax result depends on the SPV’s income, assets, exemptions and whether it satisfies the conditions for Qualifying Free Zone Person treatment. Passive status alone does not create an automatic exemption.

Can an ADGM SPV open a UAE bank account?

Potentially, subject to the bank’s independent KYC, AML, source-of-funds, ownership, purpose and risk assessment.

What is the difference between an ADGM SPV and a holding company?

An SPV is passive and designed around a narrow holding purpose. An operating holding company may perform licensed management, treasury, headquarters or other active group functions.

How long does ADGM SPV setup take?

Processing depends on document completeness, nexus, ownership complexity, CSP coordination and any questions raised by the Registrar. A specific timeline should be confirmed for the actual application rather than guaranteed in advance.
