The ADGM Nexus Requirement
ADGM requires every SPV to demonstrate an appropriate connection—or “nexus”—to ADGM, the UAE and/or the GCC region.
The application should explain why an ADGM company is logically connected to the assets, shareholders, group, transaction or regional structure.
A weak nexus explanation can delay the application even when the incorporation documents are complete.

Non-exempt SPV
Applicants that do not meet ADGM’s exemption criteria must appoint an ADGM-licensed Company Service Provider before lodging the application. The CSP supports formation, registered office and ongoing filings.
Potentially exempt SPV
Certain qualifying entities may be exempt from appointing a CSP, including specified regulated or substantial UAE groups. Exemption must be demonstrated to the Registrar—it should never be assumed.
ADGM SPV Cost in 2026
The official ADGM initial Registration Authority fee for a standard SPV is USD 1,900. The specialised-category annual licence and data-protection renewal total is USD 1,400, and the annual confirmation statement costs a further USD 100.
That means the authority fee is only one layer. A non-exempt SPV will usually also incur CSP and registered-office charges, plus professional, accounting, tax and banking-preparation costs based on the structure.

ADGM found that an SPV exceeded its passive licence scope, conducted unlicensed activity and filed false annual accounts. The director was also disqualified for 15 years.
“Passive” Is a Legal Limitation, Not Marketing Language
ADGM has taken enforcement action where SPVs were used as operational businesses. In a 2025 case, the Registration Authority said an SPV had been used as an investment company, financial-services provider and cryptocurrency-to-fiat payment facilitator outside its licence scope.
ADGM has also previously penalised SPVs for acting as managers of residential investment properties rather than remaining passive holding entities.

ADGM SPV Setup Process
The digital filing can be straightforward. The structure, nexus and ownership evidence are where most of the real work sits.
Define the asset and purpose
Identify exactly what the SPV will hold, why legal separation is needed and what liabilities are being ring-fenced.
Document the ADGM/UAE/GCC nexus
Connect the shareholders, assets, project, group or transaction to the regional structure and support the explanation with evidence.
Assess CSP exemption status
Most non-exempt applicants must appoint an ADGM-licensed CSP before the application is lodged.
Prepare ownership and KYC documents
Compile shareholder, director, UBO, proof-of-address, source-of-wealth and corporate-shareholder evidence.
Prepare the SPV business plan
Explain the purpose, ownership, assets, nexus, expected transactions and why the entity will remain passive.
Submit through the correct route
The CSP generally submits a non-exempt SPV application. Exempt applicants follow the applicable ADGM route.
Verify the incorporation documents
Review the legal name, licence activity, shareholders, directors, share capital and registered-office details.
Activate tax, accounts and banking
Implement accounting, UBO, tax, confirmation statement and annual-accounts controls immediately.
ADGM SPV Corporate Tax: Do Not Assume “Passive = Tax-Free”
The outcome depends on income, assets, counterparties, exemption conditions and whether the SPV qualifies as a Qualifying Free Zone Person.
Corporate Tax registration
An ADGM SPV is a UAE legal person and must assess UAE Corporate Tax registration and filing obligations under the current rules.
QFZP analysis
Free-zone 0% treatment is conditional. The SPV must satisfy the QFZP requirements and classify each income stream correctly.
Participation exemption
Dividends and gains from qualifying ownership interests may benefit from the participation exemption where statutory conditions are met. It is not automatic for every investment.
Opening a Bank Account for an ADGM SPV
An ADGM SPV can seek a bank account subject to the bank’s risk appetite and KYC review, but the application is different from an ordinary operating-company file.
The bank needs to understand why the vehicle exists, what it owns, where money will come from, where it will go, who ultimately controls the structure and why the UAE is relevant.
