Legal Requirements to Start a Business in Dubai
Understand the licensing steps, documents and ongoing obligations for your proposed business. Use this checklist to plan a mainland or free zone company, identify approvals and prepare for life after registration.
Which requirements apply to your business?
The legal requirements to start a business in Dubai depend on your licensing authority, activity, legal form, ownership and operating location. Additional requirements may arise from your industry, staffing plans or the goods and services you supply.
Start with three questions: what will the business do, where will it operate and which authority will license it? Then prepare an application checklist for that specific route.
Dubai mainland
Check the activity, legal form and application requirements through Dubai’s Department of Economy and Tourism and any relevant sector authority.
Free zone
Check the selected free zone’s company rules, permitted activities, facilities and approval process. Confirm requirements for the places where you intend to perform the work.
Core registration and licensing steps
- Define the activity. Match the proposed products, services and contracts to the authority’s permitted scope. Use our business activity selection guide to prepare the brief.
- Choose a compatible legal form. Confirm the ownership, shareholder arrangements and formation documents required for the proposed structure.
- Reserve the trade name. Follow the authority’s naming rules and check the application’s name, activity and legal form together.
- Complete initial approval where required. Check the sequence of approvals for your activity before progressing with the application.
- Confirm suitable premises. Establish the address, tenancy and facility requirements. For Dubai mainland premises, check applicable Ejari and location requirements.
- Prepare formation documents and approvals. Complete the constitutional documents, signatures and any sector permissions required for the selected route.
- Complete registration and licence issuance. Submit the required documents and pay the assessed charges. Review the issued licence against the approved application.
Initial approval is not permission to operate. It indicates no objection to establishing the business. Complete the applicable licensing and operational permissions before starting the regulated work.
The sequence can vary. For licence terminology and categories, see our Dubai business licence guide.
Ownership, legal form and sector approvals
Full foreign ownership is available for many mainland activities, but check the selected activity and structure rather than assuming one ownership rule applies to every business. Strategic activities and regulated sectors can have additional conditions.
A licence category alone does not resolve professional qualifications, operator permissions or facility approvals. Describe the actual work to the relevant authority and confirm which requirements apply.
- Professional services: check whether qualifications or professional registration are required.
- Customer-facing premises: confirm the location and operational permissions for the proposed venue.
- Goods and production: check product, import, storage or manufacturing requirements relevant to the operation.
- Specialist activities: identify the sector regulator and any approvals needed before or after licence issuance.

Documents to prepare for your application
Use this as a preparation list. The authority’s checklist for your specific application determines what must be submitted.
| Document group | What to prepare or confirm |
|---|---|
| Individual applicants | Passport and identity information, with UAE residence and Emirates ID details where applicable. |
| Corporate shareholders | Company registration documents, ownership information and resolutions or authorisations requested by the authority. |
| Formation and management | Required constitutional documents, shareholder details, manager appointments and authorised signatories. |
| Activity and approvals | Exact activity names, application approvals and any qualifications or sector permissions required. |
| Premises | Address, lease or workspace documents and registrations required for the selected facility. |
| Ownership transparency | Ownership chain and beneficial-owner information required by the applicable registrar rules. |
Ask whether foreign documents need attestation, legalisation or translation. Keep names and ownership details consistent across the application.
Requirements to assess after company registration
Licence issuance is a milestone. Plan the registrations, records and permissions needed to run the company and meet recurring obligations.
Beneficial-owner records
Check the beneficial-owner disclosure and register requirements applicable to your entity, including any exemptions. Provide the required information to the registrar and follow its update rules when details change.
Corporate Tax
Assess registration and filing requirements separately from the amount of tax payable. Free zone status does not automatically remove Corporate Tax registration obligations. Confirm the applicable deadlines and treatment for your entity.
VAT
For UAE-resident businesses, mandatory VAT registration generally applies when taxable supplies and imports exceed AED 375,000 in the past 12 months or are expected to exceed that amount in the next 30 days. Check exceptions and other applicable registration rules.
Accounting and audit
Set up bookkeeping and retain supporting records. Check the financial-statement and audit requirements arising from the legal form, authority, tax position and any sector rules.
Assign responsibility for recurring work. Create a calendar for licence renewal, approvals, company-register updates, tax filings and employee permissions. Record the responsible person and the confirmed deadline for each item.
AML requirements depend on the business and sector
Check whether your business falls within a regulated anti-money laundering category, such as a designated non-financial business or profession, and identify its supervisory authority.
Where applicable, establish the required compliance arrangements before undertaking the relevant work. These can include customer due diligence, risk assessment, reporting, recordkeeping and staff training.
A bank’s onboarding request for ownership or source-of-funds information is a separate process. It does not replace your company’s own obligations where those apply.
Residence and employment permissions are separate
Plan the owner’s residence route and employee permissions alongside company setup. A trade licence does not itself issue a residence visa or work permit.
For mainland hiring, confirm the applicable MOHRE and immigration procedures. For free zone hiring, check the process with the selected authority. Assess the required permits, contracts and residence arrangements for each person.

Prepare banking as an operational task
Keep your licence, ownership documents, business model and supporting contracts ready for bank review. Account approval is a separate assessment and should not be promised as an automatic outcome of incorporation.

Frequently asked questions
What are the main legal requirements to start a business in Dubai?
Confirm the authority, activity and legal form, complete the required registration and licensing process, arrange suitable premises and obtain relevant approvals. Then assess the tax, ownership-disclosure, employment and sector obligations for your business.
Can I start operating after initial approval?
Initial approval does not authorise business operations. Complete the applicable licence and operational permissions before carrying out the work.
Do I always need a local shareholder?
Many mainland activities permit full foreign ownership. Confirm the conditions for the exact activity and legal form, including any strategic-sector or other specific requirements.
Do free zone companies need to consider Corporate Tax?
Yes. Free zone status is not a blanket exemption from Corporate Tax registration and filing. Review the entity’s obligations and any conditions relevant to its tax treatment.
Does every business need an annual audit?
Assess the requirement for the entity’s legal form, licensing authority, tax position and sector. Do not use one revenue threshold as a universal rule for every company.
Is a printed licence the only evidence of permission?
Check the validity and scope of the issued licence, including an electronically issued licence, and any additional permissions required. Do not rely on initial approval alone.
How long will the setup take?
Timing depends on the authority, documents, activity and approval dependencies. Request an estimate for your application, including steps that require action from other authorities.
