What Is an ADGM Foundation?

An ADGM Foundation is a separate legal entity with no shareholders. It can own assets in its own name and is commonly used for family wealth preservation, succession, asset holding and long-term governance.

It combines features of a company and a trust: unlike a trust it has separate legal personality, but unlike an ordinary company it is not designed for unrestricted commercial activity.

Competitor pricing can be misleading. Some articles quote old ADGM registration fees or combine government fees with CSP/legal fees. Separate the official ADGM fee from third-party structuring and maintenance costs.

Does an ADGM Foundation Need a CSP or Physical Office?

ADGM Foundations do not require a conventional operating office. They must, however, maintain a registered office address within ADGM.

A non-exempt Foundation must appoint an ADGM-licensed Company Service Provider. The CSP normally supports incorporation, registered office and statutory filings.

An exempt Foundation can avoid the mandatory CSP requirement only if it demonstrates substantial UAE resources, experience, personnel and adequate governance to the Registrar’s satisfaction.

How to Set Up an ADGM Foundation

Corporate Tax treatment

ADGM Foundation Tax: The Family Foundation Election

An ADGM Foundation is not automatically exempt from UAE Corporate Tax simply because it is used for family wealth.

1. Register for Corporate TaxThe FTA states that a Family Foundation must first be registered for Corporate Tax before applying for transparent treatment.
2. Test Family Foundation conditionsThe entity must satisfy the Corporate Tax Law and relevant Ministerial Decision requirements.

Beneficiaries still matter. The FTA states that individual beneficiaries must separately determine whether they have Corporate Tax registration or return obligations for the relevant Tax Period.
Do not rely on “0%” marketing. ADGM’s family-office materials highlight potential tax optimisation, but the actual outcome requires federal Corporate Tax analysis and an approved election where applicable.

Opening Bank and Investment Accounts for an ADGM Foundation

A Foundation account is not assessed like a simple owner-managed trading company. Banks and investment institutions need to understand the Founder, Council, Guardian, beneficiaries, asset origin, purpose and expected distributions.

The structure should be explainable in one coherent ownership and governance chart.
