DIFC — H1 2026
FSRA vs DFSA
For a regulated financial firm, regulator fit matters more than ordinary company registration cost.
FSRA — ADGM

- Asset and fund management
- Banking and credit
- Brokerage and dealing
- Custody
- Virtual / digital asset frameworks
- Fintech and financial innovation
DFSA — DIFC
The DFSA is the independent regulator of financial services conducted in or from DIFC. Financial firms require DFSA authorisation before conducting regulated services.
- Asset and wealth management
- Banking and credit services
- Capital markets and securities
- Funds and custody
- Insurance and Islamic finance
- Crypto token / innovation frameworks

SPVs, Foundations, Family Offices and Holding Structures
ADGM SPV
A mature passive SPV regime with an explicit ADGM/UAE/GCC nexus requirement. Non-exempt SPVs require an ADGM-licensed CSP.
DIFC Prescribed Company / SPV
DIFC offers low-cost SPV structures. Regulations effective in August 2026 expanded access to the Prescribed Company regime, subject to current eligibility and structuring rules.
ADGM & DIFC Foundations
Both centres support Foundation structures for private wealth and succession. Compare legal governance, registered-agent/CSP rules, tax implementation and where family assets are administered.
Trust structures
Both jurisdictions have sophisticated private-wealth frameworks. The Foundation-vs-trust choice should be made before deciding the financial centre.
Holding companies
For active group ownership, headquarters, treasury or management functions, compare ordinary operating-company costs and office requirements rather than passive-SPV pricing.
Family wealth ecosystem
DIFC has a dedicated Family Wealth Centre. ADGM has an expanding family office and private-wealth offering. Choose based on advisers, banks, managers, assets and family location.
ADGM Courts
ADGM is distinctive because the Application of English Law Regulations make English Common Law, including principles of equity, directly applicable in ADGM. ADGM Courts are independent and English-language.
- Direct English Common Law application
- Court of First Instance and Court of Appeal
- Digital eCourts framework
- Commercial and civil dispute jurisdiction
DIFC Courts
DIFC Courts administer an independent English-language common-law jurisdiction under DIFC’s own civil and commercial laws. DIFC legislation is written in English and the courts are widely used for regional and international commercial disputes.
- Independent common-law judicial system
- English-language proceedings
- Court of First Instance and Court of Appeal
- Established regional commercial dispute platform
ADGM vs DIFC Corporate Tax
At federal tax level, neither financial centre receives an automatic blanket 0% rate.
QFZP is conditional
An eligible Free Zone Person can benefit from 0% Corporate Tax on Qualifying Income only if all Qualifying Free Zone Person conditions are satisfied.
Audit and substance matter
QFZP treatment brings federal requirements including adequate substance, transfer pricing and audited financial statements under the applicable rules.
Non-qualifying income
Income that does not qualify can be subject to the standard Corporate Tax treatment. Free-zone status alone does not decide the tax rate.
Does ADGM or DIFC Make Bank Account Opening Easier?
Both centres are recognised institutional jurisdictions, but neither guarantees banking approval. Banks still assess UBOs, source of wealth, source of funds, business model, counterparties, office substance, regulated status and expected transactions.
DIFC can be commercially attractive where the banking and private-wealth relationship is Dubai-centred. ADGM can be strong where the business is linked to Abu Dhabi institutional capital, investment management or group assets.
The legal entity’s purpose and evidence matter more than the logo on the licence.

When ADGM or DIFC Usually Makes More Sense
Global asset manager targeting Abu Dhabi capital
Lean: ADGM. Proximity to Abu Dhabi institutional capital and ADGM’s rapidly growing asset-management ecosystem can be strategically important.
Private bank or wealth manager serving Dubai clients
Lean: DIFC. DIFC’s mature banking, wealth-management and professional ecosystem can create stronger commercial adjacency.
Non-financial regional HQ
Compare carefully. ADGM’s published Category B authority fees are materially lower, but Dubai location and DIFC client proximity may justify the cost difference.
Passive investment SPV
Structure-specific. DIFC can be cheaper for an eligible SPV; ADGM has a well-developed nexus-based SPV regime. Compare eligibility, registered agent/CSP, tax and asset location.
Family succession structure
Either can work. Compare ADGM Foundation / trust options with DIFC Foundation, Family Wealth Centre, advisers, banks and family geography.
Fintech / digital-assets business
Regulator-specific. Compare the exact FSRA and DFSA permissions, token framework, client type, custody and product architecture before choosing.
We Compare the Commercial Ecosystem Before the Licence Quote
We map the activity, regulatory permissions, clients, capital sources, team location, office, legal vehicle, tax treatment, banking needs and long-term expansion plan.
Only then do we compare ADGM and DIFC fees. A lower licence fee can be irrelevant if the wrong ecosystem adds friction to hiring, fundraising, regulation or client acquisition.

ADGM vs DIFC FAQs
What is the main difference between ADGM and DIFC?
ADGM is Abu Dhabi’s international financial centre and DIFC is Dubai’s. Both have independent commercial legal systems, courts and financial regulators, but their ecosystems, fee structures, regulators, private-wealth offerings and legal frameworks differ.
Which is cheaper, ADGM or DIFC?
It depends on the structure. ADGM’s current standard non-financial Category B initial authority fee is USD 5,800, while DIFC’s March 2026 non-retail Private Company handbook lists USD 8,000 incorporation plus a USD 12,000 commercial licence. DIFC’s eligible SPV offering can, however, be cheaper than an ADGM SPV.
What is the regulator in ADGM?
The Financial Services Regulatory Authority, or FSRA, regulates financial services in or from ADGM.
What is the regulator in DIFC?
The Dubai Financial Services Authority, or DFSA, is the independent regulator of financial services conducted in or from DIFC.
Is ADGM English Common Law?
ADGM directly applies English Common Law, including principles of equity, through the Application of English Law Regulations.
Is DIFC a common-law jurisdiction?
Yes. DIFC Courts administer an independent English-language common-law jurisdiction under DIFC’s own civil and commercial laws.
Is ADGM better than DIFC for asset managers?
Not universally. ADGM has experienced rapid asset-management growth and strong proximity to Abu Dhabi institutional capital. DIFC has a larger regulated financial-services community and a mature Dubai wealth and banking ecosystem. The right answer depends on clients, products, capital and regulator fit.
Which is better for an SPV, ADGM or DIFC?
ADGM has a well-established passive SPV regime with an ADGM/UAE/GCC nexus requirement and mandatory CSP appointment for non-exempt SPVs. DIFC offers a low-cost SPV / Prescribed Company route with its own eligibility rules. The asset, ownership and commercial connection should determine the jurisdiction.
Which is better for a family office?
Both can work. DIFC has a dedicated Family Wealth Centre and a large Dubai private-wealth ecosystem. ADGM provides Foundations, trusts, SPVs and a growing Abu Dhabi family-office and institutional-capital ecosystem.
Do ADGM and DIFC companies pay Corporate Tax?
Both are within the UAE federal Corporate Tax framework. Eligible Qualifying Free Zone Persons can benefit from 0% on Qualifying Income if all statutory conditions are met. Neither jurisdiction gives an automatic blanket 0% rate.
Which is better for banking?
Neither guarantees approval. DIFC can be attractive for Dubai-centred banking and wealth relationships, while ADGM can be commercially strong for Abu Dhabi-linked institutional and investment structures. Banks independently assess KYC, AML and business risk.
Can I move a company from DIFC to ADGM or vice versa?
Re-domiciliation or restructuring may be possible depending on the legal form, jurisdictional rules, regulatory permissions, assets, contracts and tax position. It should be planned as a legal and operational migration rather than assumed to be a simple licence transfer.
